Terms of Service

These Terms govern your use of the PadiQmobile application, web properties, and related services (the "Service") operated by 42 TAPS INC ("PadiQ", "we", "us"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

Important: Sections 14-16 below contain a binding arbitration agreement and a class-action waiver. They affect how disputes between you and PadiQ are resolved. Read them carefully. Users in the European Economic Area, the United Kingdom, and Switzerland are not subject to the arbitration clause — see Section 16.

1. Eligibility

You must be at least 13 years old (16 in the EEA) to use PadiQ. If you use the Service on behalf of a club or organization, you confirm you are authorized to bind it to these Terms.

2. Your account

• Provide accurate information and keep it up to date.
• You are responsible for activity on your account. Protect your login credentials and device.
• We may suspend or terminate accounts that break these Terms, our community rules, or applicable law.

3. Matchmaking and no background checks

PadiQ computes compatibility between players based on self-reported data (skill, style, availability, etc.). Scores are suggestions — we do not guarantee any particular match outcome, court availability, or player behavior. We do not conduct criminal background checks, identity verification, or medical screening of users. You remain responsible for deciding whom to meet, where to meet, and how to play. Exercise the same caution you would meeting any stranger.

4. Conduct

You agree not to:

• Harass, threaten, or discriminate against other users.
• Post sexual, violent, or illegal content.
• Impersonate another person, create fake accounts, or manipulate the matching algorithm.
• Scrape, reverse-engineer, or interfere with the Service.
• Use the Service to spam, advertise, or solicit paid services unrelated to padel.
• Circumvent security, rate limits, or access controls.

5. Reporting and safety

You can report another user, a chat message, or content from inside the app (profile → Report) or by emailing hello@padiq.app. You can also block a user at any time; blocked users can no longer invite or message you and will not appear in your matches. We review reports and act proportionately: warning, content removal, temporary suspension, or permanent ban.

6. User content and feedback

You retain ownership of content you post (profile info, photos, chat messages). You grant PadiQ a worldwide, non-exclusive, royalty-free license to host, display, and distribute that content solely to operate and improve the Service. If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use them without any obligation to you.

7. Responsibility for physical activity and location

Padel is a physical activity that carries inherent risks of injury. You are solely responsible for assessing your fitness to play, choosing courts, warming up, and using appropriate equipment. You use any location features (nearby clubs, meet-ups) at your own risk. PadiQ is not liable for physical injuries, property damage, or harm arising from in-person interactions with other users.

8. Subscriptions and payments

Premium features are sold as auto-renewing subscriptions through the Apple App Store. Your Apple ID is charged at confirmation. Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period; manage or cancel in iOS Settings → Apple ID → Subscriptions. Refunds are handled by Apple at reportaproblem.apple.com. If you are a consumer in the EEA, the UK, or Switzerland, you have a statutory 14-day withdrawal right; by starting to use paid features immediately you request performance begin during that period and lose the right to withdraw once fully supplied (Directive 2011/83/EU, Art. 16(m)).

9. Clubs

Clubs using PadiQ B2B features (member management, events, branding) are responsible for the lawfulness of data they upload and for communicating with their members about how PadiQ processes that data on their behalf. A separate Data Processing Addendum governs that relationship.

10. Third-party services and App Store terms

You acknowledge that these Terms are between you and 42 TAPS INC, not Apple, and that Apple is not responsible for the Service or its content. The following apply under Apple’s Schedule 2 to the Paid Applications Agreement:

• Scope of license: a non-transferable license to usePadiQ on Apple-branded products you own or control, subject to the App Store Usage Rules.
• Maintenance and support: 42 TAPS INC is solely responsible; Apple has no obligation to furnish maintenance and support.
• Warranty: on failure to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price; Apple has no other warranty obligation.
• Product and IP claims: 42 TAPS INC, not Apple, is responsible for addressing product-liability, legal-conformance, and intellectual-property claims relating to the app.
• Legal compliance: you represent you are not in an embargoed country or on any U.S. Government list of prohibited parties.
• Third-party beneficiary: Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

11. Intellectual property

The Service, including the PadiQ name, logo, scoring engine, UI, documentation, and code, is owned by 42 TAPS INC and protected by applicable intellectual property laws. We grant you a limited, revocable, non-transferable license to use the Service for personal, non-commercial purposes.

12. Copyright — DMCA notices

We respond to notices of alleged copyright infringement under the DMCA (17 U.S.C. §512). Send notices to our designated agent:

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT MATCHES WILL RESULT IN PLAYED GAMES OR THAT OTHER USERS WILL BEHAVE LAWFULLY.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 42 TAPS INC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND (B) USD 100. NOTHING LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW (E.G. DEATH, PERSONAL INJURY CAUSED BY NEGLIGENCE, OR FRAUD).

15. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless42 TAPS INCfrom claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, your violation of others’ rights, or content you post.

16. Dispute resolution

Users in the EEA, the UK, and Switzerland

If you are a consumer resident in the EEA, the UK, or Switzerland, the arbitration clause below does not apply. Disputes may be brought before the courts of your place of residence, and mandatory local consumer-protection law applies. The EU Online Dispute Resolution platform is at ec.europa.eu/consumers/odr.

All other users — informal resolution first

Before filing arbitration or a lawsuit, you agree to try to resolve the dispute informally by writing to hello@padiq.app. If not resolved within 60 days, either side may proceed to arbitration.

Binding arbitration & class-action waiver

Any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its consumer rules, available at https://www.adr.org/consumer. YOU AND 42 TAPS INC AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS OR REPRESENTATIVE ACTION. Either side may bring an individual small-claims action instead.

Opt-out

You may opt out of this arbitration clause within 30 days of first accepting these Terms by emailing hello@padiq.app with the statement "I opt out of arbitration". Any claim must be filed within one (1) year after it arose, except where applicable law prohibits shorter limitation periods.

17. Governing law

These Terms are governed by the laws of Delaware, USA, without regard to conflict-of-laws rules. Subject to the arbitration clause and any mandatory consumer-protection law that applies to you, disputes are to be resolved in the courts located in Delaware, USA.

18. Changes

We may update these Terms. Material changes will be announced in the app and the effective date at the top will be updated. Continued use after the update means you accept the revised Terms.
